The Impact You'll Make in this Role

As a Paralegal, you will have the opportunity to tap into your curiosity and collaborate with some of the most innovative and diverse people around the world. Here, you will make an impact by:

  • You will support Board and Committee meetings, including organizing and leading preparation processes for Board and Committee meetings, drafting corporate governance documents, such as agendas, resolutions, consents, minutes and notices of meetings; and assisting with the distribution of meeting materials through a third-party electronic portal and the coordination of Board meeting logistics.
  • You will partner with attorneys in developing processes related to and leading the preparation and review of quarterly, annual and other securities filings with the Securities and Exchange Commission (10-Q, 10-K, 8-K, proxy statement and Section 16 filings), and annual certifications and other notifications and reports with the stock exchange.
  • You will develop processes and lead the implementation of other corporate governance matters, including coordinating insider trading policy notifications and certifications.
  • You will help coordinate the Annual Meeting of Stockholders.
  • You will coordinate communications with the transfer agent, third-party stock plan administrators, proxy solicitor and registered shareholders.
  • You will provide deal management support for M&A, finance and other corporate transactions.
  • You will lead the management of our subsidiaries in the United States and Canada; coordinate with and field questions and requests from internal departments (e.g., Legal, Tax, Finance, Treasury and HR) and external service providers (e.g., legal counsel in the U.S. and subsidiary jurisdictions); prepare and file corporate documentation, including articles of incorporation, bylaws, board and shareholder minutes, resolutions, consents, powers of attorney and statutory filings or certifications; manage the database of records and corporation information for all subsidiaries; and engage and direct the work of corporate agents and outside subsidiary management vendors.
  • You will perform other paralegal functions as assigned, including assisting with corporate governance matters and handling administration of certain contracts.

Your Skills and Expertise

To set you up for success in this role from day one, Solventum requires (at a minimum) the following qualifications:

  • Bachelor's Degree or higher AND eight (8) years of corporate registration procedures in the United States and coordinating with foreign legal counsel on maintenance of foreign subsidiaries experience in a private, public, government or military environment

OR

  • High School Diploma/GED AND twelve (12) years of corporate registration procedures in the United States and coordinating with foreign legal counsel on maintenance of foreign subsidiaries experience in a private, public, government or military environment

In addition to the above requirements, the following are also required:

  • One (1) year of experience using new technology for subsidiary management and governance
  • One (1) year of experience performing legal research

Additional qualifications that could help you succeed even further in this role include:

  • Experience demonstrating ability to work on own, control a high volume and complex workload and know when to escalate issues to an attorney.
  • Excellent proofreading skills.
  • Comfortable working with all levels of management, including the Board of Directors.
  • Comfortable handling sensitive issues confidentially and diplomatically.
  • Proficiency in Excel (can maintain complex spreadsheets) and PowerPoint.
  • Experience with an electronic board portal, such as Diligent Boards.
  • Experience coordinating complex tasks with multiple team members with a strong focus on collaboration.
  • Experience working on public company matters, including SEC and stock exchange filings.
  • Notary public qualification.

Applicable to US Applicants Only:The expected compensation range for this position is $137,439 - $167,981, which includes base pay plus variable incentive pay, if eligible. This range represents a good faith estimate for this position. The specific compensation offered to a candidate may vary based on factors including, but not limited to, the candidate's relevant knowledge, training, skills, work location, and/or experience.
